These General Terms and Conditions of Sale govern the purchase of products and services made through the MyBrand website.
By placing an order, the Customer declares that they have read, understood and fully accepted these General Terms and Conditions of Sale.
Sales Reserved for Professional Customers – B2B
MyBrand operates exclusively in the Business-to-Business (B2B) sector.
Purchases are therefore reserved for businesses, professionals and other parties acting within the scope of their business or professional activities and holding a valid VAT number.
MyBrand does not sell retail products to private consumers.
To make a purchase, you must register on the website and provide the required information, including a valid VAT number.
The Customer is responsible for the accuracy, completeness and truthfulness of the information provided during registration and purchase.
C.O.D. GROUP S.r.l. reserves the right to verify the information provided and, in the event of incorrect, incomplete or unverifiable information, to suspend or cancel the account and/or any orders placed.
Any special commercial terms reserved for distributors or other specific categories of customers are subject to prior approval and authorization by C.O.D. GROUP S.r.l.
Prices and VAT
All prices shown on the website are expressed in euros and exclude VAT, unless otherwise specified.
Any applicable VAT is calculated and displayed at checkout before the final confirmation of the order and payment
For customers established in other Member States of the European Union, the applicable VAT treatment will be determined in accordance with current legislation and the validity of the VAT identification number provided by the Customer, verified through the VIES system where applicable.
The Customer is responsible for the accuracy of the tax information provided.
Discounts
Unless specific commercial terms have been agreed in advance and authorized by C.O.D. GROUP S.r.l., the following conditions apply to product purchases:
- for a total product value of up to €999.99, a 40% discount is applied to the list prices;
- for a total product value of €1,000.00 or more, a 50% discount is applied to the list prices.
The thresholds are calculated exclusively on the value of the products purchased at list price, before the discount is applied.
Any costs relating to graphic design services, logo creation or processing, CPNP notification management, shipping or other ancillary services do not count towards reaching the thresholds.
The Welcome Box, as it consists of products, does count towards reaching the applicable thresholds. In any case, a 50% discount is applied to the Welcome Box compared to its list price.
Minimum Quantities
The following minimum quantities apply to customizable products for each individual product reference and size:
- 6 units for all sizes under 1000 ml;
- 3 units for the 1000 ml size.
Samples and the Welcome Box are excluded from these minimum quantities and may also be purchased individually.
Samples are supplied with MyBrand packaging and labels and do not include customization of the bottle, closure or label.
The Welcome Box contains 15 products in the 100 ml size, supplied with MyBrand labels and not customizable
There is no minimum overall order value, provided that the minimum quantities applicable to each individual product reference are met.
Order Completion
Submitting an order through the website constitutes a purchase request under the terms displayed at the time of confirmation
C.O.D. GROUP S.r.l. reserves the right to verify the accuracy of the order, quantities, applicable commercial terms, tax information, any requested CPNP services and the selected customizations
If, after the order has been placed, any mandatory services, costs or necessary processing not correctly selected by the Customer are identified, C.O.D. GROUP S.r.l. may suspend processing and/or shipment until the matter has been duly resolved.
Payment Methods
Orders may be paid using the payment methods available at checkout, including, where available
- advance bank transfer;
- credit or debit card;
- PayPal;
- Klarna;
- Apple Pay;
- Google Pay;
- cash on delivery
Order processing begins upon receipt of payment, subject to any graphic design work that may be required and the specific terms applicable to cash on delivery payments.
In the event of payment by advance bank transfer, the financial terms of the order remain valid for 30 days from the date of order confirmation
If payment is not received within this period, C.O.D. GROUP S.r.l. reserves the right to consider the order cancelled or, if prices or financial terms have changed, to require the Customer to accept the new terms before proceeding.
Any availability of instalment payment options is governed by the terms and conditions of the relevant service provider. Where available, Klarna is the instalment payment system offered through the website.
Certain payment methods may involve additional service fees necessary to cover the costs associated with the selected payment method. Any additional fee will be displayed to the Customer during checkout and will be included in the final order total before payment is confirmed.
The invoice relating to the order is normally issued within 2 business days of receipt of payment.
Customization Using MyBrand Templates
C.O.D. GROUP S.r.l. provides Customers with a selection of free graphic templates that can be used to customize the labels of purchased products.
The Customer may choose one of the available templates and customize it with their own logo and the chosen product name, according to the customization options provided by the template.
The templates, their structure, layout and the graphic elements provided remain the property of C.O.D. GROUP S.r.l. and/or their respective rights holders.
The selection and use of a template by a Customer does not grant any exclusive rights to that template.
C.O.D. GROUP S.r.l. may therefore use and make the same template available to other Customers as well.
The Customer may not transfer, reproduce or independently use the templates for products manufactured by third parties without the prior written authorization of C.O.D. GROUP S.r.l.
Template Modifications, Custom Graphics and Additional Graphic Design Services
If the Customer requests graphic modifications to one of the available templates, a fee of €25.00 + VAT will be charged for each requested modification.
If, instead, the Customer wishes to develop their own graphic design that differs from the templates provided by MyBrand, the service is charged as follows:
- €75.00 + VAT for the first product reference;
- €25.00 + VAT for each additional product reference.
The custom graphic design service includes 3 initial proposals, developed based on the instructions provided by the Customer, and up to 3 revisions of the selected proposal.
Any additional work or revisions may be subject to a separate quotation.
Product Rendering
The Customer may request a rendering of the customized product at a cost of €10.00 + VAT for each product reference.
The rendering is intended as a graphic representation and preview of the customized product. Any minor differences between the rendering and the final physical product, due to the characteristics of the materials, printing, packaging or digital representation, shall not in themselves constitute a defect or non-conformity of the product.
Barcode and QR Code
Adding a barcode or QR Code to the label involves an additional cost of €0.80 + VAT for each product reference and size concerned.
The Customer is responsible for the accuracy and, where applicable, the ownership, validity and functionality of the codes, data, links or information they request to be included. C.O.D. GROUP S.r.l. will handle their graphic application based on the information provided by or agreed with the Customer.
Graphic design and additional services may be selected and charged during checkout.
If any necessary graphic design work or additional service, or one requested at a later stage, was not included in the original order, C.O.D. GROUP S.r.l. may issue an additional invoice. Processing may be suspended until the relevant payment has been received.
The costs of graphic design and additional services do not count towards reaching the thresholds applicable to product discounts.
Customer Logo
To customize the products, the Customer must provide their logo in a vector format suitable for printing.
If the Customer does not have a suitable file, they may request that the logo be processed by the graphic design department of C.O.D. GROUP S.r.l.
The service costs €150.00 + VAT
The logo processed through this service will be provided to the Customer in the required vector format.
The related cost constitutes an additional service and does not count towards reaching the discount thresholds applicable to product purchases.
Materials Provided by the Customer
The Customer represents and warrants that they hold all rights, licenses and authorizations necessary for the use of logos, trademarks, names, texts, images and any other materials provided to C.O.D. GROUP S.r.l. for the purpose of customizing the products.
The Customer assumes full responsibility for the use of such materials and agrees to indemnify and hold C.O.D. GROUP S.r.l. harmless from any claims, disputes or demands made by third parties in connection with the infringement of intellectual property, industrial property or other rights arising from the materials provided by the Customer.
Graphic Design Approval
Before the customized labels are printed, the final artwork is submitted to the Customer for approval.
By approving the proof, the Customer declares that they have carefully reviewed all elements of the artwork, including, by way of example, names, texts, logos, references, spelling, layout of the elements and other customized information.
Following final approval, C.O.D. GROUP S.r.l. cannot be held liable for errors in the content or materials provided by the Customer that were clearly visible in the approved proof.
Any changes requested after final approval may result in additional costs and a corresponding extension of processing times.
Colors and Print Reproduction
The Customer acknowledges that colors displayed on monitors, smartphones and other digital devices are generally represented using systems based on the RGB color space, while standard printing processes generally use the CMYK color space and are also affected by the characteristics of the materials and production processes.
For this reason, minor color differences may occur between the artwork displayed on a screen and the final printed result.
Such normal and minor technical variations, provided they do not substantially affect the agreed artwork, shall not constitute a defect or non-conformity of the product.
Ownership of Artwork and Labels
The templates, label artwork and designs developed by C.O.D. GROUP S.r.l. as part of the MyBrand service remain the property of C.O.D. GROUP S.r.l., unless otherwise agreed in writing
The purchase of products and any graphic design services does not automatically entail the transfer to the Customer of the source files, templates or rights to use the graphic designs.
Label artwork created by C.O.D. GROUP S.r.l. may not be transferred to third parties or used for external production without the prior written authorization of C.O.D. GROUP S.r.l.
The Customer retains ownership of their own logo, trademarks and any other materials originally provided by them.
If C.O.D. GROUP S.r.l. provides the Customer with the specific logo processing service set out in these Terms and Conditions, the resulting logo will be delivered to the Customer in accordance with the provisions of Article 10.
CPNP and Responsible Person
Cosmetic products placed on the market in the European Union are subject to the provisions of Regulation (EC) No. 1223/2009 on cosmetic products, including the provisions relating to the Responsible Person and notification through the Cosmetic Products Notification Portal (CPNP).
As part of the MyBrand service, C.O.D. GROUP S.r.l. acts as the Responsible Person in accordance with the requirements applicable to the products placed on the market.
A service fee of €8.00 + VAT is charged for managing the CPNP notification for each product reference and each size, payable only upon the Customer’s first purchase of the specific product reference/size combination.
By way of example, if the Customer has already paid the CPNP service fee for a shampoo in the 250 ml size, subsequent reorders of the same product reference in the same size will not incur an additional charge. However, purchasing the same product reference in a different size for the first time will result in the applicable management fee being charged.
The Customer is required to select the necessary CPNP services when placing the order.
C.O.D. GROUP S.r.l. reserves the right, in any case, to carry out a subsequent review of the order. If it is found that one or more required CPNP services were not selected, the Customer will be required to pay the corresponding amount, including by means of an additional invoice.
The goods concerned will not be shipped until all outstanding amounts have been paid in full.
The indicated cost represents the fee for the CPNP notification management service provided by C.O.D. GROUP S.r.l. and is not a fee charged by the CPNP portal.
Formulas, Know-How and Technical Documentation
The cosmetic formulas, related know-how, production processes and proprietary documentation remain the exclusive property of C.O.D. GROUP S.r.l. and/or their respective rights holders.
The purchase of the products, even when marketed under the Customer’s brand or artwork, does not entail any assignment or transfer of rights relating to the formulas or production know-how.
Where provided for and applicable, INCI lists and safety data sheets are made available to the Customer
C.O.D. GROUP S.r.l. reserves the right to update or improve the formulations over time for technical, regulatory, production or performance-related reasons.
If a change is significant compared to the product previously purchased, the Customer will be informed before any subsequent reorder of the product reference concerned.
Processing Times
MyBrand products are available products that are subsequently customized according to the Customer’s requirements.
As a general indication, once final approval of the artwork has been received and all necessary requirements and payments have been completed, the goods are prepared for shipment within 10 business days.
This timeframe is indicative and may be extended in the event of graphic design changes, revision requests, logo creation or adaptation, customized processing, technical requirements, temporary unavailability or other circumstances affecting the normal preparation process.
Changes requested by the Customer may result in a corresponding extension of processing times.
Shipping and Delivery
C.O.D. GROUP S.r.l. ships to Italy and to Member States of the European Union.
For shipments within Italy, a fee of €15.00 + VAT applies, unless different terms are expressly indicated at the time of the order.
For shipments to other Member States of the European Union, the cost is calculated based on weight, destination and the applicable shipping conditions and is indicated during the purchasing process or communicated to the Customer.
Shipping times are generally between 1 and 3 business days from the date of dispatch, depending on the destination and the carrier’s conditions.
Shipping times are separate from the time required to prepare and customize the order.
English: Any delays attributable to carriers, force majeure events, unavailability of materials or products, logistical disruptions, exceptional events or other circumstances beyond the direct control of C.O.D. GROUP S.r.l. shall not entitle the Customer to compensation solely on account of the delay, without prejudice to any mandatory rights provided by law.
Inspection of Goods Upon Delivery and Transport Damage
Upon delivery, the Customer is required to verify the number of packages and the external condition of the packaging. In order to protect the Customer and ensure the proper handling of any transport damage or irregularities, the Customer is requested to always accept the goods subject to inspection, even if the packaging shows no immediately visible external damage.
If the packaging is damaged, opened, crushed, wet, tampered with or shows any other visible irregularity, the reservation must be specific and, where possible, indicate the nature of the irregularity identified.
Failure to note a reservation, particularly in the presence of clearly visible external damage, may prevent or limit the possibility of subsequently making a claim against the carrier for the related transport damage.
This provision does not exclude the possibility of reporting any defects, faults or non-conformities that could not be identified through a normal external inspection at the time of delivery.
In the event of a claim, the Customer must retain the product, packaging and documentation and provide C.O.D. GROUP S.r.l. with photographs and any other information useful for assessing the matter.
C.O.D. GROUP S.r.l. will assess the case and agree with the Customer on the appropriate procedure based on the nature of the problem and the respective responsibilities.
Customized Products, Returns and Non-Conformities
Given the professional nature of the relationship and the customization of the products according to the Customer’s specifications, customized products cannot be returned due to a change of mind or for reasons not attributable to defects or non-conformities for which C.O.D. GROUP S.r.l. is responsible.
The right of withdrawal provided for purchases made by consumers does not apply, as sales are conducted exclusively on a B2B basis.
Any problems, defects or non-conformities must be promptly reported to C.O.D. GROUP S.r.l., which will assess the claim.
If the problem is found to be attributable to C.O.D. GROUP S.r.l., the appropriate remedy will be determined based on the nature and extent of the non-conformity.
If the return is due to circumstances attributable to the Customer, the related costs shall be borne by the Customer.
Order Cancellation
A cancellation request may only be considered before the production of the labels or any other non-recoverable customized processing has begun.
Any acceptance of the cancellation and the refundable amount will be determined taking into account the progress of the order, the activities already carried out, the services already provided and the costs incurred by C.O.D. GROUP S.r.l.
Once the printing of the labels or any other customized processing specifically intended for the Customer has begun, the order may not be cancelled, unless otherwise agreed in writing with C.O.D. GROUP S.r.l.
If an order is suspended due to non-payment of mandatory services, including any CPNP management services due but not correctly selected, C.O.D. GROUP S.r.l. may suspend shipment until the outstanding amounts have been settled and may consider cancelling the order, taking into account the work already carried out and the costs already incurred.
Customer Responsibilities
The Customer is responsible for:
- the accuracy of the company and tax information provided;
- the validity of the VAT number provided;
- the accuracy of the graphic and textual materials provided;
- the ownership or availability of the rights relating to trademarks, logos, images and other content provided;
- reviewing the artwork proof before approval;
- the use and subsequent marketing of the products in compliance with the regulatory provisions applicable to their business activities, without prejudice to the responsibilities assigned by law to C.O.D. GROUP S.r.l. as the Responsible Person.
Limitations of Liability and Force Majeure
C.O.D. GROUP S.r.l. undertakes to provide its services professionally and in compliance with applicable legislation.
Except in cases where liability cannot be excluded or limited by law, C.O.D. GROUP S.r.l. shall not be held liable for delays or failures to perform resulting from events beyond its reasonable control, including, by way of example, force majeure events, strikes, transport disruptions, sudden unavailability of raw materials or packaging, measures taken by public authorities, natural disasters, widespread failures or other exceptional events.
The occurrence of such circumstances may result in an extension of the time required to process the order, without the mere delay automatically entitling the Customer to compensation.
Amendments to the General Terms and Conditions
C.O.D. GROUP S.r.l. reserves the right to amend or update these General Terms and Conditions of Sale, including as a result of changes in legislation, technical or commercial requirements, or the services offered.
Unless otherwise required by mandatory provisions or agreed between the parties, orders already concluded shall be governed by the terms and conditions in force at the time they were concluded.
The updated version of the General Terms and Conditions is published on the MyBrand website, indicating the date of the latest update.
Applicable Law and Jurisdiction
These General Terms and Conditions of Sale and the contractual relationship between C.O.D. GROUP S.r.l. and the Customer are governed by Italian law.
Unless otherwise provided by mandatory provisions of law, the Court of Verona shall have exclusive jurisdiction over any dispute relating to the interpretation, validity, performance or termination of these General Terms and Conditions and the contractual relationship between the parties.
